Nothing in this section limits any other rights available to Grovcap under applicable law.
Unless otherwise expressly indicated, all intellectual property rights relating to the Services are owned by or licensed to Grovcap.

- text;
- images;
- audio;
- video;
- trademarks;
- logos;
- branding;
- documentation;
- compilations;
- selection and arrangement of content.
Subject to these Terms, Grovcap grants users a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for their personal, educational or internal business purposes, as applicable.
Except as expressly permitted by applicable law or these Terms, users must not:
- reproduce;
- distribute;
- modify;
- publicly display;
- publicly perform;
- publish;
- license;
- sublicense;
- sell;
- commercialise;
- create derivative works from;
- reverse engineer;

Nothing in these Terms transfers ownership of any intellectual property rights to users.

Certain Services may permit users to submit content, including feedback, survey responses, comments, suggestions, questions, ideas or other materials ("User Content").
Users retain ownership of any intellectual property rights they hold in User Content.
By submitting User Content through the Services, users grant Grovcap a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable and transferable licence, to the extent permitted by applicable law, to:
- use;
- reproduce;
- modify;
- adapt;
- publish;
- distribute;
- display;
- analyse;
- aggregate;
- incorporate into research;
- create derivative works from;
such User Content for the operation, improvement, development and promotion of the Services.
Research responses submitted through Investor Pulse may be incorporated into aggregated statistical analyses and institutional research outputs in accordance with the Privacy Policy.
Users represent and warrant that:
- they have the necessary rights to submit User Content;
- their User Content does not infringe the rights of any third party;
- their User Content is not unlawful, defamatory, fraudulent or misleading.
Grovcap reserves the right, but not the obligation, to remove User Content that violates these Terms or applicable law.
Certain Services may be made available to institutional subscribers under separate commercial arrangements.
Unless otherwise expressly agreed in writing, institutional access is provided solely for the subscriber's internal business purposes.
Institutional subscribers must not:
- redistribute reports;
- resell data;
- sublicense access;
- provide dashboard access to unauthorized persons;
- publish substantial portions of Grovcap research without permission;
- remove proprietary notices;
- create competing commercial products using the Services.
Aggregated statistical reports remain the intellectual property of Grovcap unless otherwise expressly agreed.
Nothing in these Terms transfers ownership of Grovcap's methodologies, research frameworks, analytical models or underlying databases.
Institutional subscriptions may be subject to additional commercial agreements that supplement these Terms.
The Services may reference information obtained from third-party sources, including:
- ETF issuers;
- index providers;
- financial institutions;
- regulators;
- public databases;
- research organisations;
- governmental bodies;
- market participants.
Such information remains the property of its respective owners.
Unless expressly stated otherwise, Grovcap does not independently audit, verify or guarantee the accuracy, completeness or timeliness of third-party information.
References to third-party organisations, products, securities or trademarks do not constitute endorsements by Grovcap or the relevant third parties.
Users remain responsible for independently evaluating information obtained from third-party sources.
Grovcap seeks to make the Services available on a reliable basis.
However, Grovcap does not guarantee that the Services will be:
- continuously available;
- uninterrupted;
- error-free;
- free from delays;
- free from defects;
- compatible with every device or software configuration.
The Services may be suspended, interrupted, modified or discontinued at any time, including for:
- maintenance;
- upgrades;
- security incidents;
- technical failures;
- regulatory requirements;

Grovcap shall not be liable for temporary interruptions or unavailability of the Services to the fullest extent permitted by applicable law.
Beta features, experimental functionality and early-access services may be modified or withdrawn without notice.

- AI functionality does not constitute investment advice, financial advice or professional advice.
Users remain solely responsible for evaluating AI-generated information and determining its suitability for their own circumstances.
Grovcap reserves the right to:
- modify AI functionality;
- discontinue AI features;
- introduce usage limits;
- monitor AI usage for security purposes;
- suspend access where AI functionality is misused.
Nothing in these Terms guarantees the future availability of any experimental, beta or AI-powered feature.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GROVCAP DISCLAIMS ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- NON-INFRINGEMENT;
- TITLE;
- ACCURACY;
- COMPLETENESS;
- AVAILABILITY;
- RELIABILITY;
- SECURITY;
- SATISFACTORY QUALITY.
Without limiting the foregoing, Grovcap does not warrant or represent that:
- the Services will operate without interruption;
- the Services will always be available;
- information contained within the Services is complete, current or free from error;
- defects will be corrected;
- the Services are free from viruses or other harmful components;
- research outputs will accurately predict future investor behaviour;
- Market Signals will correctly anticipate market developments;
- Investor Pulse results will remain statistically representative over time;

Nothing in this section excludes warranties that cannot lawfully be excluded under applicable law.
To the fullest extent permitted by applicable law, Grovcap and its directors, officers, employees, contractors, advisers, licensors, affiliates and service providers shall not be liable for any:

- punitive damages;

Where applicable law does not permit certain exclusions or limitations of liability, Grovcap's liability shall be limited to the maximum extent permitted by such law.
Nothing in these Terms excludes liability for fraud, fraudulent misrepresentation, wilful misconduct or any liability that cannot lawfully be excluded.
To the fullest extent permitted by applicable law, users agree to defend, indemnify and hold harmless Grovcap, its directors, officers, employees, contractors, advisers, licensors, affiliates and service providers from and against any claims, liabilities, losses, damages, judgments, settlements, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to:
- violation of these Terms;
- misuse of the Services;
- unlawful conduct;
- infringement of intellectual property rights;
- violation of applicable laws;
- User Content submitted by the user;
- fraudulent or misleading research responses;
- unauthorized use of user accounts;
- violation of the rights of any third party.
Grovcap reserves the right to assume exclusive control of the defence of any matter subject to indemnification, in which case users agree to cooperate fully with Grovcap.
Grovcap reserves the right to suspend, restrict or terminate access to any part of the Services at any time where reasonably necessary to:
- protect the security of the Services;
- investigate suspected misuse;
- prevent fraud;
- comply with legal obligations;
- protect intellectual property;
- preserve research integrity;
- protect users;
- protect Grovcap's legitimate business interests.
Users may discontinue use of the Services at any time.
Termination or suspension of access shall not affect:
- accrued rights;

- payment obligations;

Nothing in these Terms prevents either party from seeking interim, injunctive or other equitable relief where appropriate.

Failure by Grovcap to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.
Grovcap may revise these Terms from time to time to reflect:
- changes in applicable law;
- regulatory developments;
- technological changes;
- security improvements;
- operational requirements;
- new products or Services;
- changes to business practices.
The "Last Updated" date appearing at the beginning of these Terms indicates when the most recent revision became effective.
Where required by applicable law, Grovcap will provide appropriate notice before material changes become effective.
Continued use of the Services following the effective date of revised Terms constitutes acceptance of the updated Terms to the extent permitted by applicable law.
If a user does not agree to revised Terms, the user must discontinue use of the Services.
